Our mandate: originate, certify, structure, and commercialise high-integrity coastal carbon assets, beginning with Mnazi Bay-Ruvuma Estuary Marine Park as our first flagship proof of concept, and scaling across Tanzania and the wider Western Indian Ocean.

Built to convert groundwork into a bankable asset

Kaboni Yetu Limited was incorporated under Tanzania's GN 636 (2022) carbon trading regulations, specifically Regulation 34(3)(d), as the dedicated commercial entity to unlock blue carbon value across Tanzania's coastal seascape.

The company's founding draws on three years of pre-commercial development across 15 coastal villages in Mtwara Region: high-quality carbon sampling, socio-economic assessments, legal and policy analysis, and governance diagnostics that validated MBREMP's ecological potential and community readiness as a carbon project site. That work established the foundation. Kaboni Yetu was incorporated to convert it into a credit-ready, investable asset.

Carbon origination at institutional quality needs a dedicated entity: one that can engage investors, negotiate offtake agreements, coordinate with Plan Vivo and the National Carbon Monitoring Centre, and move at market pace. Field delivery (community engagement, ecological restoration, and field-level MRV monitoring) is provided under formal contract by Action for Ocean (AFO), a registered Tanzanian marine conservation NGO with deep operational presence across the MBREMP coastal landscape. AFO is Kaboni Yetu's founding conservation partner; its role is field delivery under agreement, and Kaboni Yetu's role is commercial origination and market access.

What the 99% subscriber structure means

AFO holds 99% of Kaboni Yetu's subscriber shares. Due-diligence readers should understand precisely what that means, and what it does not.

In Tanzanian company law, subscriber shares are founding equity. They establish who incorporated the company and lock in mission alignment between the founding institution and the commercial vehicle it sponsors. The structure is a mission-lock: it keeps the entity that originates carbon credits and the entity that protects the ecosystems those credits represent permanently aligned in mandate.

Kaboni Yetu's own governance, including an independent board to hold decision-making authority over certification coordination, contracts, investor relations, and revenue administration, is being established during the readiness phase. Until that board is constituted, the company is directed by its founders in coordination with AFO. Investor and buyer engagement during this phase is conducted on that basis, transparently.

The 99% subscriber structure is a mission-lock, not an operating-control mechanism. It exists so commercial execution and conservation credibility stay aligned as the company scales.

Carbon Origination & Commercial Authority

Kaboni Yetu Limited

Private company incorporated in Tanzania under GN 636 (2022) Regulation 34(3)(d). Holds commercial authority over credit origination, Plan Vivo and NCMC certification coordination, buyer and investor engagement, ERPA negotiation, and revenue administration under certified benefit-sharing frameworks.

Conservation Field Delivery

Action for Ocean (AFO)

Registered Tanzanian marine conservation NGO and Kaboni Yetu's founding conservation partner and majority subscriber-shareholder. Delivers community engagement and safeguards, ecological restoration, and MRV field monitoring under formal agreement.

The two mandates are complementary by design, governed by contract, and structurally distinct. Community benefit-sharing is set as company policy and agreed with each village directly, which keeps it visible to the communities it serves and durable under Tanzanian carbon regulation rather than dependent on goodwill.
